A shifter that's out of adjustment will have difficulty shifting in all 
gears.  Sounds like the syncros are going.  Depending on how the PO took care 
of the tranny, synthetic oil?.  2nd gear syncro is the first to wear, then 
3rd.  If you don't already have synthetic gear oil, like Redline, try 
changing oil first.

Another thing to check out is try driving a few miles, shifting slowly 
between gears(or double clutching), after the tranny has warmed a bit, try 
shifting normally.  Sometimes after the tranny oil warms up, the grinding 
will go away if they are not too badly worn.  Options at this point are: 
double clutch while cold, rebuild the tranny or find another one.
